Intensive: Mergers & Acquisitions

The deal market is booming, activists are prowling, and legal doctrine is evolving. In this environment, a large number of publicly traded corporations need to be thinking about participating in the M&A market either as buyers or sellers. This session brings together leading experts to discuss best practices in M&A, both from the buy side and sell side, as well as techniques related to shareholder activism. Among the topics to be explored are current at-market bidding practices, director fiduciary responsibilities in these transactions, implications of shareholder activism, incorporating Delaware’s reliance on independent committees combined with majority of minority approval in developing and M&A strategy, the future of appraisal arbitrage, managing potential investment banker and law firm conflicts, and building a record that can withstand inevitable litigation scrutiny.
