Gidon Caine
Partner, Alston & Bird
Gidon Caine is a Silicon Valley partner with Alston & Bird’s Securities Litigation Group. He advocates for companies, their directors, and officers in litigation involving contests for corporate control, corporate governance disputes, class and derivative actions involving fiduciary duties, and claims under the federal securities laws. He is also experienced with disputes involving mergers and acquisitions, including SPAC-related matters, as well as government investigations, regulatory enforcement actions, and other complex litigation. He represents companies, their directors, audit committees, and officers in internal investigations involving matters including complex accounting issues, insider trading claims, and regulatory compliance. He was co-lead counsel in the landmark Dell appraisal litigation—one of the most significant appraisal actions in the Delaware Court of Chancery. He also represented an investor in his fight for control of Wynn Resorts.
Gidon has been interviewed on CNBC and in USA Today on securities and corporate governance issues. He is a regular panelist at Stanford Law School Directors’ College and has taught at the Practising Law Institute.

Gidon earned his J.D. in 1988 from New York University, where he was the notes and comments editor for the Journal of International Law & Politics, and his B.A., cum laude, from the University of Pennsylvania in 1983. He clerked for Michael B. Mukasey of the U.S. District Court for the Southern District of New York from 1988 to 1989.
Gidon is fluent in Hebrew, and he is admitted in California and New York.
