Biography
Alan Seem’s practice includes SEC-registered and Rule 144A/Regulation S securities offerings, mergers & acquisitions, venture capital and emerging growth companies, private equity investments, fund-related matters and going-private transactions. He also regularly advises companies and their boards of directors on corporate governance issues, including SEC/stock exchange compliance, board and management duties and responsibilities, environmental, social and governance (ESG) and other disclosure-related matters. He is also fluent in Mandarin Chinese.
Alan has spoken on governance issues at the Stanford Directors’ College and on ESG implications for public boards at Silicon Valley Director’s Exchange (SVDX). He is a Member of the Board of Trustees of the California Pacific Medical Center Foundation, Board member emeritus, Chinese American Lawyers of the Bay Area and Innovator Member of the Asia Society of Northern California. Alan is also the former head, Shearman & Sterling’s Asia Capital Markets Group and Beijing Office Managing Partner
Alan received his B.A. from Dartmouth College and his J.D. from Columbia School of Law. Prior to law school, Alan attended Beijing Normal University and the Tunghai University for Chinese language study.
Alan is admitted to practice in California and New York.
