Current Issues in Executive Compensation

This session will review the latest trends on key issues facing compensation committees, whose role continues to expand into issues of human capital management and diversity, equity, and inclusion (DEI). The panelists will review current practices on tying pay to performance, especially in light of the new required disclosures under the pay-versus-performance rules and increased scrutiny in a volatile economy. In addition, the panel will discuss the shifting focus of incentive pay from traditional performance metrics to emphasize other key strategic initiatives, such as meeting DEI or other environmental, social, and governance (ESG) objectives; best practices for compensation committee process; clawback provisions in light of the enhanced clawback rules; and the changing opinions (and power) of institutional investors and others on matters of executive compensation. This session will provide additional tools and insights on compensation and related human capital management matters so that compensation committees can successfully navigate the tensions between recruiting and retaining executives, complying with regulations, and responding to investor demands and public sentiment.
